1. Agreement to Terms

By accessing our website (erinitesolutions.com) or contracting our agency services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms, you are prohibited from using the site and must discontinue use immediately.

2. Services & Project Scope

Erinite Solutions provides end-to-end digital solutions including but not limited to Shopify Development, Amazon Account Management, eBay Management, Custom Web Development, Digital Marketing & Paid Ads, Business Analytics, and 3D Product Visualization.

Each client engagement is governed by an agreed-upon Statement of Work (SOW), proposal, or contract detailing project deliverables, milestones, timelines, and fees.

3. Client Responsibilities & Access

To ensure timely project completion, clients agree to:

• Provide timely feedback, approvals, and content assets necessary for execution.
• Grant required partner or user access permissions (e.g., Shopify Partner access, Amazon Seller Central secondary permissions, ad accounts) in a secure manner.
• Ensure that all materials, trademarks, and logos provided do not infringe upon any third-party copyrights.

4. Intellectual Property Rights

Client Deliverables: Upon full payment of all contractual fees, full ownership and intellectual property rights of custom deliverables (websites, custom code, 3D render outputs, graphic creatives) are transferred to the client.

Agency Showcase: Erinite Solutions retains the right to display completed project screenshots, videos, and non-confidential case studies in our agency portfolio and marketing materials unless an explicit non-disclosure agreement (NDA) is executed.

5. Fees, Payments & Invoicing

Project fees, deposit requirements, and payment schedules are detailed in individual client invoices. Invoices are payable upon receipt via approved commercial payment methods. Late payments may result in a temporary suspension of active services or delivery milestones.

6. Limitation of Liability

In no event shall Erinite Solutions, its directors, employees, or partners be liable for any indirect, consequential, or incidental damages (including loss of business profits or data) arising from marketplace platform policy changes (e.g. Amazon algorithm updates, ad network suspensions), third-party hosting outages, or client delays. Our total liability shall not exceed the amount paid by the client for the specific service under dispute.

7. Governing Law & Jurisdiction

These Terms shall be governed by and defined following the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be resolved in the competent courts of Wyoming.
